Choosing Your Structure
You decided you want to formalize. Now the question is: where do you incorporate, what entity type, and how much will it cost? The answers depend on your state, your mission, and how you plan to use technology in your operations.
Where Should You Incorporate?
Most people incorporate in their home state. It is simpler, cheaper, and avoids the complexity of foreign qualification (registering in your home state to operate an entity formed elsewhere). If you live in Tennessee and plan to serve Tennesseans, incorporate in Tennessee.
There are exceptions. Some states have more favorable laws for certain entity types, lower filing fees, or faster processing. Wyoming, for example, has no state income tax, $50 nonprofit filing fees, and progressive entity law. Delaware is popular for LLCs and corporations because of its well-developed business court system.
If you incorporate in a different state from where you live, you will need to register as a foreign entity in your home state, which adds an extra filing fee, an extra annual report, and an extra registered agent. For most solo founders, the simplicity of incorporating at home outweighs the advantages of shopping for a better state.
What Does It Actually Cost?
Forming a nonprofit is cheaper than most people think. Here are the real costs:

Realistic all-in for a bare-bones 501(c)(3): $325 – $900 depending on your state and whether you use Form 1023-EZ or the full application. A 501(c)(4) is even cheaper: as low as $100 total (state filing + Form 8976).

Your Incorporation Checklist
Regardless of which state you choose, here is the sequence:
- Choose a name. Search your state's business name database to make sure it is available. Most states require the name to include "Inc.," "Corporation," or "Incorporated."
- Draft articles of incorporation. Section 3 of this playbook has the exact prompts to generate these using AI.
- File with your Secretary of State. Online filing is available in most states. Processing time ranges from same-day to 4 weeks.
- Get an EIN. Apply online at IRS.gov the same day you receive your incorporation confirmation. It takes 5 minutes.
- Draft bylaws. These are your internal operating rules. Not filed with the state, but required by the IRS for tax-exempt applications.
- Hold your organizational meeting. Adopt bylaws, elect officers, authorize a bank account. Document everything in minutes.
- Open a bank account. Bring your articles, EIN letter, and bylaws. Most banks will open a nonprofit checking account with no minimum balance.
- File for tax-exempt status. Form 1023 or 1023-EZ for 501(c)(3). Form 8976 for 501(c)(4).
